CORPORATE GOVERNANCE
The Board is responsible for the implementation of good corporate
governance principles in the company and recognises the obligation to ensure
that the highest standards of accountability and behaviour are met.
The primary responsibilities of the board include:
- Formulation
and approval of the strategy, objectives and goals of the company;
- Monitoring the company’s financial performance;
- Approving of the company’s financial statements;
- Implementing adequate internal control systems and procedures and monitoring
compliance with these;
- Identification
and appropriate management of business risks;
- Review of the
performance and remuneration of executive directors;
- Establishment
and adherence to appropriate ethical standards;
- Adoption of all
major recommendations of the ASX Corporate Governance Council which
are appropriate for a company of Winpar's size and nature.
